By visiting our website and/or purchasing goods from us, the business promoter engages in our “Service” or "Services" and agrees to be bound by the terms including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.
These terms apply to all contracts for the sale of goods to, or the provision of work by Oleifera Mall for the promoter, to the exclusion of any terms and conditions specified by the client.

SECTION 1- APPLICATION TO BE AN INDEPENDENT PROMOTER OF OLEIFERA MALL
Complete the application in the Independent Promoter’s  Application Form & Agreement with the applicant’s name, Telephone No., Date of Birth and other particulars which will be stored in Oleifera Mall’s system. All correspondence will be based on the information saved in the Oleifera Mall’s system. An applicant is advised to provide complete and accurate information.
The applicant’s telephone number and email address must be stated. This is necessary in the event that Oleifera Mall  needs to contact the applicant in order to provide efficient service or other matters.  
Make sure that all the details of the applicant’s introducer are correctly filled.
Read all the terms and conditions carefully before signing.
The applicant must sign on the Independent PROMOTER  Applicant Form & Agreement, except for registration done on the internet.

SECTION 2 - ELIGIBILITY
The promoter represents and warrants that they have national ID number and are an authorised user of any mobile money number used to purchase goods through the website or manually.
Oleifera Mall  goods and services are sold through a network of Oleifera Mall  Independent PROMOTERS. SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION
Oleifera Mall  are not responsible if information made available on this website is not accurate, complete or current. The material on this website is provided for general information only and should not be relied upon or used as the sole basis for making decisions without primarily consulting  Oleifera Mall, more accurate, more complete or more timely sources of information. Any reliance on the material on this site only is at the client's own risk.
This website is updated on a regular basis, but may contain certain historical information. Historical information may not necessarily be current and is provided for the promoter's reference only.  Oleifera Mall reserves the right to modify the contents of this website at any time, but have no obligation to update it. It is the promoter's  responsibility to monitor changes to the Oleifera Mall website/back-office.

SECTION 4 - GENERAL ETHICS
The INDEPENDENT PROMOTER must operate his/her INDEPENDENT PROMOTERSHIP in an ethical, professional, and courteous manner. This means, among other things, the following:
- The INDEPENDENT PROMOTER must comply with the Terms & Conditions, Policies, and Agreement and with applicable law.
- The INDEPENDENT PROMOTER must operate his/her INDEPENDENT PROMOTERSHIP honestly.
- The INDEPENDENT PROMOTER should indicate to prospective customers and other independent promoters who the INDEPENDENT PROMOTER is, why the INDEPENDENT PROMOTER have contacted them, and what Products and Services the INDEPENDENT PROMOTER is promoting or selling.
- The INDEPENDENT PROMOTER shall not pressure any customer or prospective independent promoters to operate in a financially irresponsible way, including, but not limited to, pressuring them to buy more Products or Business Support Materials and Services than they can reasonably use or sell, or to maintain specific inventory requirements.
- The INDEPENDENT PROMOTER must not encourage or recommend that independent promoters or prospective independent promoters incur debt in order to participate in the business.
- The INDEPENDENT PROMOTER must explain how to return Products or cancel an order.
- The INDEPENDENT PROMOTER must not represent to prospective independent promoters that they are required to purchase Products or Product packages to become independent promoters. Prospective independent promoters must be informed that they can sign up as customers or that they may purchase Products individually and not in Product packages by using an already existing INDEPENDENT PROMOTER’s particulates.
Non Disparagement. The INDEPENDENT PROMOTER may not make any misleading, unfair, inaccurate, or disparaging comparisons, claims, representations, or statements about:
Oleifera Mall;
Its Products, or commercial activities;
Other persons;  
Other companies (including competitors); or
Other companies’ products, services, or commercial activities.
Harassment;  The INDEPENDENT PROMOTER must operate his/her INDEPENDENT PROMOTERSHIP in a manner that is free of harassment, intimidation, threats, and abuse. Harassment of any kind will not be tolerated, including, but not limited to, race, religion, physical and verbal abuse, or soliciting, encouraging, or consummating any inappropriate or unwelcome written, verbal, electronic or physical relationships, sexual advances, requests for sexual favours, or other physical, verbal, or visual behaviour of a sexual nature, with another independent promoter, Company's employee or consumer.
No Contact of Vendors or Advisory Board Independent Promoter. The INDEPENDENT PROMOTER may not contact, either directly or indirectly, Oleifera Mall  vendors, suppliers, advisory board Independent Promoter, basic research partners, universities, or any other advisors or consultants of Oleifera Mall without the prior written consent to Oleifera Mall company.

Maintaining Oleifera Mall  Reputation;  The INDEPENDENT PROMOTER will not act in any way, including his/her actions outside the scope of his/her INDEPENDENT PROMOTER, which could be considered detrimental to the business or reputation of Oleifera Mall  or its independent promoter. Oleifera Mall  has the right to, in its sole discretion, determine what actions may be considered detrimental and take action against the INDEPENDENT PROMOTER.  
Record Review;  As a condition to participating as an INDEPENDENT PROMOTER, the INDEPENDENT PROMOTER  grants Oleifera Mall  the right to review any records related to his/her INDEPENDENT PROMOTERSHIP in order to investigate whether the INDEPENDENT PROMOTERSHIP has been operating his/her INDEPENDENT PROMOTER in compliance with these Policies and Procedures.  Oleifera Mall  may request to review his/her INDEPENDENT PROMOTERSHIP records at any time and for any reason. The INDEPENDENT PROMOTERSHIP must comply with any request to review his/her INDEPENDENT PROMOTERSHIP records by promptly and completely making his/her true records available for review and taking of copies by Oleifera Mall.

Compliance with Law;  The sale of Oleifera Mall  Business Support Materials and Services and the performance of any Oleifera Mall  Business Support Services must comply with these Policies and Procedures and with all applicable laws and regulations, including but not limited to laws related to consumer privacy, data protection, do not call regulations, anti-spam regulations, and any related consumer protection laws. The INDEPENDENT PROMOTER bears full responsibility for ensuring that the INDEPENDENT PROMOTER complies with all applicable laws and the INDEPENDENT PROMOTER will be liable to Oleifera Mall   in the event  Oleifera Mall incurs any liability as a result of his/her non-compliance. The INDEPENDENT PROMOTER is encouraged to consult with his/her own legal counsel regarding his/her compliance with these laws and regulations. While Oleifera Mall may review Oleifera Mall  Business Support Materials and Services and may request modifications to such materials, Oleifera Mall’s review of, and its permission to sell, such Business Support Materials and Services neither comply with all applicable laws.
Affordability;  The INDEPENDENT PROMOTER must ensure that the quantity and cost of any Business Support Materials and Services that the INDEPENDENT PROMOTER sells to another independent promoter are reasonably related to the sales volume and Bonus level of that independent promoter. The INDEPENDENT PROMOTER may not encourage an independent promoter to go into debt to purchase   Oleifera Mall  Business Support Materials and Services.
No Selling Activity at Corporate Events;  The INDEPENDENT PROMOTER may not display, promote, or sell any Business Support Materials and Services at meetings or events sponsored and conducted, in whole or in part, by Oleifera Mall.

Website;  Although the INDEPENDENT PROMOTER may allow other independent promoters to use his/her website and assess a reasonable charge to cover his/her costs for providing the service; the INDEPENDENT PROMOTER may not sell replicating or template website to other independent promoters without the prior written approval to  Oleifera Mall.

SECTION 5 - RENEWAL OF REGISTRATION, REVOCATION
The Notice of Registration will indicate the date on which such Notice of Registration Expires. The INDEPENDENT PROMOTER may not continue to use, offer, sell or perform any Business Support Materials and Services for which the Notice of Registration has expired unless the INDEPENDENT PROMOTER has re-submitted the materials for registration with Oleifera Mall and have received a new Notice of Registration from Oleifera Mall for Business Support Materials and Services. The materials the INDEPENDENT PROMOTER wishes to renew will be submitted as part of his/her current Application for Registration that is on file with Oleifera Mall and handled in accordance with the same procedure. If his/her Application for Registration has expired, then the INDEPENDENT PROMOTER must file a new Application for Registration together with any Business Supports Material and Services that the INDEPENDENT PROMOTER wishes to renew.

Oleifera Mall will generate the INDEPENDENT PROMOTE’s renewal membership action through deducting the amount from the E-account if there are sufficient amounts, or the INDEPENDENT PROMOTER  may buy using cash or other payment mode pay the Independent Distributorship renewal fees.
Notwithstanding anything to the contrary in these Policies and Procedures, Oleifera Mall reserves the right to terminate and revoke any Notice of Registration at any time in its sole discretion. If the Notice of Registration is revoked, then the INDEPENDENT PROMOTER must immediately cease using or distributing the specified Business Support Materials and Services. Oleifera Mall is not liable for and will not reimburse the INDEPENDENT PROMOTER for any costs incurred by the INDEPENDENT PROMOTER for the production of his/her Business Support Materials and Services that are subject of the revocation.

SECTION 6 - TRANSFERRING HIS/HER INDEPENDENT PROMOTERSHIP
Transferring an INDEPENDENT PROMOTERSHIP;  The INDEPENDENT PROMOTER  may not transfer his/her INDEPENDENT PROMOTERSHIP  or any rights therein unless the INDEPENDENT PROMOTER  has received the prior written consent from  Oleifera Mall during this phase I of operations, which will not be unreasonably withheld. Oleifera Mall will not consent to any proposed transfer if it determines that the proposed transfer is not substantive and is being done to avoid the requirements of these Policies and Procedures. Oleifera Mall  will not recognize any assignment, and the transferee will have no rights until the transfer has been approved by Oleifera Mall. Any exceptions and waivers Oleifera Mall  has made to the INDEPENDENT PROMOTERSHIP Agreement for the benefit of an INDEPENDENT PROMOTER will terminate upon the transfer unless otherwise provided in a written agreement by Moringa Mall.  

Individuals;  If an INDEPENDENT PROMOTER is an individual, upon his/her death, his/her INDEPENDENT PROMOTERSHIP may be passed on to his/her beneficiaries whether by will, intestate succession, or otherwise. The transfer will be recognized by Oleifera Mall when a court order or proper legal document addressing the transfer to a qualified transferee is submitted to Oleifera Mall.  Oleifera Mall encourages INDEPENDENT PROMOTER to make appropriate arrangements in consultation with an estate-planning attorney for the transfer of his/her INDEPENDENT PROMOTERSHIP.  
Participant in a Business Entity; If the INDEPENDENT PROMOTER is a Participant in a Business Entity, upon his/her death his/her interest in the INDEPENDENT PROMOTERSHIP will be transferred according to the Business Entity’s legal documents and applicable law governing the transfer, provided that all Persons of the transferee are qualified to hold an interest in an INDEPENDENT PROMOTERSHIP under these Policies and Procedures. The transfer of his/her interest will be recognized by Oleifera Mall when a court order or proper legal documents addressing the transfer to a qualified transferee are submitted to Oleifera Mall.

SECTION 7 - TERMINATING HIS/HER INDEPENDENT PROMOTERSHIP
Anyone who wishes to participate in the Oleifera Mall multi-level marketing network and direct selling program may become an INDEPENDENT PROMOTER after submitting a completed and signed Independent Distributor Application Form & Agreement which has been accepted by Oleifera Mall. Oleifera Mall reserves the right at its sole discretion to accept or reject any Independent Promoter’s  application Form & Agreement without the intervention of any court of justice or appropriate authorities.  
This Independent Promotership  Agreement shall be terminated (without the intervention of any court of justice or appropriate authorities) in the following situations:
When Oleifera Mall puts an end to it with a written notice at least 7 (seven) working days prior to the date of termination of the Independent Promotership  if for any reasons the INDEPENDENT PROMOTER conducts one of the following activities:
Not to comply strictly with the provisions of Oleifera Mall’s Policies and/or the Independent Promotership Agreement;
Not to present the Independent Promotership  identity prior to introducing or marketing Oleifera Mall product for sale;
To commit serious breaches of the Independent Promotership  Agreement (including but not restricting to non-payment);
To provide fraudulent information about the benefits from participation in a multi-level marketing network of Oleifera Mall, or false information about the nature and use of Oleifera Mall products or about Oleifera Mall activities in order to entice others to participate in multi-level marketing of Oleifera Mall products;
Other cases as stipulated in the Republic of Ghana laws.

When Oleifera Mall is in a situation that prevents the fulfilment of its main obligations in accordance with the Independent Promotership Agreement during a minimum period of 3 (three) months due to reasons, not within the control of Oleifera Mall; or
When the INDEPENDENT PROMOTER puts an end to it with a written notice at least 7 (seven) working days prior to the date of termination of the Independent Promotership Agreement, with or without any reasons.

In putting an end to the Independent Promotership Agreement, both Oleifera Mall and the INDEPENDENT PROMOTER are free from its obligations related to the Terms and Conditions in Independent Distributor Application Form & Agreement in the future. Upon termination of this Agreement:
The INDEPENDENT PROMOTER shall immediately stop carrying out his/her activities relating to Oleifera Mall  business as well as the use of Oleifera Mall Name, Commercial Name, Trademarks, Brands, Logos and other intellectual properties of Oleifera Mall or Oleifera Mall products and Services.
The INDEPENDENT PROMOTER does no longer have the status of the INDEPENDENT PROMOTER and consequently shall not carry out any actions that would create misunderstandings between Oleifera Mall  and the INDEPENDENT DISTRIBUTOR.
Each party will immediately pay any debts owing to the other party.
Oleifera Mall will buy back any products that the INDEPENDENT PROMOTER purchased from Oleifera Mall if the products satisfy the following conditions:
In good condition and re-sellable in according to their initial use purpose; and
No more than 90 (ninety) days commencing from the date on that the INDEPENDENT PROMOTER received the products; and
Products have not expired as at the date of their return within 6 months; and
The products are not seasonal products and/or products used in promotion.

In this case, Oleifera Mall  shall refund the total amount of money which such INDEPENDENT PROMOTER  paid in order to receive products after making the deduction of administrative costs, expenses for re-storage and other administrative costs in conditions that the total of such costs no more than ten (10) percent of the paid amount and Bonus, bonuses and/or other economic benefits which the INDEPENDENT PROMOTER has already received as a result of receipt of such products.
Oleifera Mall has no obligation to compensate the INDEPENDENT PROMOTER whatever the consequences linked to the end of the Independent Promotership Agreement.
The INDEPENDENT PROMOTER must remain discreet and cannot share with or sell to Oleifera Mall’s competitors any information that the INDEPENDENT PROMOTER can consider as Oleifera Mall’s commercial secrets in Oleifera Mall own opinion.
The INDEPENDENT PROMOTER will be deemed to have relinquished his/her entitlements and/or rights to return purchased products as stated above and call for all unsuccessfully paid bonuses and all accumulated unpaid bonuses or rewards in Oleifera Mall database if these are not claimed within 3 (three) months from the date of termination.

After termination, INDEPENDENT PROMOTER may apply to become an INDEPENDENT PROMOTER again by submitting a new Independent Promoter Application Form & Agreement after 90 (ninety) days from the date of termination.

SECTION 8 - THE RESERVATION RIGHTS OF OLEIFERA  MALL
Based on the availability of stock, Oleifera Mall will sell to the INDEPENDENT PROMOTER its products in accordance with the Terms and Conditions mentioned in the Independent Promoter Application Form & Agreement and Oleifera Mall  Policies & Procedures.
Oleifera Mall can at any time, without prior notice, stop, decrease the production or the replenishment or change the products (the packaging, the name or the product itself) and sell the products with their modifications to the INDEPENDENT PROMOTER. In this case, Oleifera Mall shall not assume any legal responsibility in case of losses or damages that the INDEPENDENT PROMOTER or anyone else would suffer.

Oleifera Mall  shall enjoy absolute discretion to amend/update/change or delete partially in full any of the Independent Promotership Terms & Conditions and/or Oleifera Mall  Policies & Procedures without the need of prior consent from the INDEPENDENT PROMOTER or the need to give prior notice to the INDEPENDENT PROMOTER. In such cases, any change  shall be based on selling practice standard and shall also be submitted and approved by the competent authorities (if required by Ghana law) and Oleifera Mall shall keep the INDEPENDENT PROMOTER informed about such changes.

SECTION 9 - MODIFICATIONS TO THE SERVICE AND PRICES
Oleifera Mall reserves the right to changes prices for goods and service at any time without notice.
Oleifera Mall reserves the right at any time to modify or discontinue the goods (or any part or content thereof) without notice at any time.
Oleifera Mall shall not be liable to the INDEPENDENT PROMOTER or to any third-party for any modification, price change, suspension or discontinuance of goods.

SECTION 10 - PRODUCTS OR SERVICES   
Certain goods and services may be available exclusively online through the website. These goods may have limited quantities and are subject to return or exchange only according to our Return Policy.
Oleifera Mall have made every effort to display as accurately as possible the colours and images of products that appear on the website. Oleifera Mall cannot guarantee that your computer monitor's display of any colour will be accurate.  
Oleifera Mall  reserve the right, but are not obligated, to limit the sales of our goods and services to any person, geographic region or jurisdiction. Oleifera Mall  may exercise this right on a case-by-case basis. Oleifera Mall reserve the right to limit the quantities of any goods which we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at our sole discretion. Oleifera Mall  reserves the right to discontinue any product at any time. Any offer for any product or service made on this website is void where prohibited.

SECTION 11 - ORDER AND DELIVERY
The INDEPENDENT PROMOTER can purchase Oleifera Mall Products directly from Oleifera Mall Head Quarter(s) (via Pick Up or Online Shopping Services); or indirectly from Oleifera Mall Business Centre(s) (via Pick Up) according to the Terms and Conditions provided in the Independent Promoter Application Form & Agreement, Oleifera Mall Policies which shall be prepared and announced by Oleifera Mall from time to time.
Each Order placed by the INDEPENDENT PROMOTER will be formed as a purchase order between the INDEPENDENT PROMOTER and Oleifera Mall, which is an integrated part of the Independent Promotership Agreement.
Oleifera Mall shall only accept the valid and completed INDEPENDENT PROMOTER Purchase Order Contract that was submitted formally by the INDEPENDENT PROMOTER via our website/E-Commence. Such an INDEPENDENT PROMOTER shall be responsible to provide exact and valid information as required by Oleifera Mall, including but not limited to code and quantity of Oleifera Mall  products ordered, his/her INDEPENDENT PROMOTER ID.No., recipient’s name, delivery address, shipping method, and payment method.

Oleifera Mall does not accept orders on credit term. The order will not be shipped or allowed to be collected until they are paid in full. Payment must be made by credit card, cash, direct debit or such other method as may be accepted by Oleifera Mall.
Oleifera Mall reserves the right for making the final decision to restrain the quantity of Oleifera Mall products and services being ordered by an INDEPENDENT PROMOTER.
A company E-account may be issued in instances of overpayment, Product exchanges, or in other circumstances when an order cannot be completely filled. Personal Sales Volume and Group Sales Volume (or if applicable, Commissionable Sales Values), are credited when Oleifera Mall  E-account is used.
INDEPENDENT PROMOTER is required to utilize the credit in the E-account at Oleifera Mall Headquarter(s) or through Oleifera Mall online system personally. E-account Authorisation Form needs to be filled and signed, if an INDEPENDENT PROMOTER  authorized a third party to utilize the credit in E-account on behalf.
With respect to the Pick-Up, the INDEPENDENT PROMOTER is required to pick up the products by himself/herself or by the authorized person (with a valid and registered Power of Attorney/ID card) at Oleifera Mall’s Headquarter(s) or Business Centre(s).
With respect to the Online Shopping Services, the INDEPENDENT PROMOTER can receive the products at his/her office/residence or any location stipulated in the Order and Oleifera Mall may impose additional delivery charges or a minimum order amount. (but during this Phase I of our business operations, Deliveries within Accra is free, outside of Greater Accra will attract little charges) 
The INDEPENDENT PROMOTER is required to consent that the delivery of the product is done in accordance with the availability of the products in Oleifera Mall’s  stock:
Either on the day Oleifera Mall acknowledges receipt of the Orders;
Or on any date the product is received by Oleifera Mall’s  Headquarter(s) or Business Centre(s);
Or on any date, Oleifera Mall confirms to the INDEPENDENT PROMOTER.
In any case, the INDEPENDENT PROMOTER must accept that the delivery date is not the main clause of the Independent Distributorship Terms & Conditions. Oleifera Mall will not be liable in any way for any charges, losses or damages which the INDEPENDENT PROMOTER may incur as a result of a delivery delay.
All Orders, including all expenses/costs related to receiving the products, must be paid in full, processed and accepted by Oleifera Mall prior to releasing the ordered Oleifera Mall products to the INDEPENDENT PROMOTER via Pick Up and/or Online Shopping Services.

The INDEPENDENT PROMOTER is responsible to verify that an Order is complete. Oleifera Mall is liable in the event of missing/damaged products at the time of handover of the products to the INDEPENDENT PROMOTER. Nevertheless except for the situations stipulated in the warranty Policy of Oleifera Mall. Oleifera Mall shall not be liable if any claim from the INDEPENDENT PROMOTER occurs after the signature of the invoices and/or the delivery notes.
The INDEPENDENT PROMOTER agrees that:
- Except for the right to use or resale, Oleifera Mall does not give any other rights including intellectual properties rights regarding the products;
- Oleifera Mall is the exclusive owner of the trademarks and brands on the products, the packaging, and any other marketing tools.
- Oleifera Mall maintains the right to change the product prices from time to time and at any time without prior notice.

If so authorized and by the submission of the relevant third party authorization form to Oleifera Mall, an INDEPENDENT PROMOTER may submit orders in the name of another INDEPENDENT PROMOTER to effect the purchase of Products.

If any cheque is returned for insufficient funds or if any credit card payment is reversed, INDEPENDENT PROMOTER must immediately make payment to Oleifera Mall for the full amount of the returned cheque or reversed credit card payment. If an INDEPENDENT PROMOTER fails to promptly make such payment INDEPENDENT PROMOTER are in breach of the Agreement.
INDEPENDENT PROMOTER may use another individual’s credit card to order Products or Oleifera Mall’s Business Support Materials and Services provided the relevant third party authorization forms are submitted to Oleifera Mall.

SECTION 12 - UNCOLLECTED MORINGA  MALL PRODUCTS & MORINGA
Administrative time and costs will be incurred by Oleifera Mall to retain Oleifera Mall Products and/or Business Support Materials purchased but remain uncollected by and/or undelivered to the INDEPENDENT PROMOTER.

When collection is to be made by the INDEPENDENT PROMOTER and the INDEPENDENT PROMOTER fails or neglects to collect any Oleifera Mall Products and/or Business Support Materials purchased from Oleifera Mall within seven (7) days from the date of purchase, Oleifera Mall will deliver the purchased Oleifera Mall Products and/or Business Support Materials to the address as provided by the INDEPENDENT PROMOTER at reasonable delivery charges and if such Oleifera Mall Products and/or Business Support Materials cannot be successfully delivered to the INDEPENDENT PROMOTER or the INDEPENDENT PROMOTER fails or neglects for whatsoever reason to collect the Oleifera Mall Products and/or Business Support Materials from Oleifera Mall within six (6) months from the date of purchase; or

Where the INDEPENDENT PROMOTER has requested Oleifera Mall and Oleifera Mall has agreed to deliver any Oleifera Mall Products and/or Business Support Materials to the INDEPENDENT PROMOTER but Oleifera Mall is unable to deliver such Oleifera Mall Oleifera Mall Products and/or Business Support Materials to the INDEPENDENT PROMOTER due to an incorrect or incomplete delivery address or the unavailability of the named recipient at the address as provided by the INDEPENDENT PROMOTER, or the INDEPENDENT PROMOTER fails or neglects to collect the Oleifera Mall Products and/or Business Support Materials from Oleifera Mall within six (6) months from the date of purchase,

Then all of such Oleifera Mall Products and/or Business Support Materials shall be deemed to have been delivered to and accepted by the INDEPENDENT PROMOTER upon the expiry of the aforesaid period of six (6) months, whereupon the INDEPENDENT PROMOTER shall be deemed to have irrevocably and unconditionally,
Waived, relinquished and surrendered all rights, title, and interest in and to such Oleifera Mall Products and/or Business Support Materials or to a refund of the purchase price or any part thereof under the Policies and Procedures; and

Authorized Oleifera Mall and Oleifera Mall shall be entitled at its absolute discretion without any liability or further reference, notice or account to INDEPENDENT PROMOTER, to dispose of or deal with any such Oleifera Mall Products and/or Business Support Materials in any manner as Oleifera Mall deems fit or expedient, including without limitation the donation of such Oleifera Mall Products, Business Support Materials and/or goods exchanged therefor for charitable and/or humanitarian purposes.

SECTION 13 - RETAIL SALES AND CUSTOMER RETURNS
Products purchased by the INDEPENDENT PROMOTER from Oleifera Mall may only be sold to retail customers, used for Product demonstrations, or for his/her own personal use. The INDEPENDENT PROMOTER is authorized to resell Products which the INDEPENDENT PROMOTER purchases from Oleifera Mall to retail customers. Subject to the provisions herein below, the INDEPENDENT PROMOTER may shall not establish his/her own retail prices for Products and may keep all of the profits the INDEPENDENT PROMOTER earns from retailing the Products to his/her retail customers. Oleifera Mall has established suggested retail prices for products based on competitive pricing in each market. Maintaining retails pricing for non-independent promoters helps to preserve the value of Oleifera Mall’s Products and business opportunity. Oleifera Mall may take disciplinary measures, including possible termination of an INDEPENDENT PROMOTERSHIP, in the event Oleifera Mall determines that an INDEPENDENT PROMOTER resells Products at price levels that impair the viability of bona fide retail pricing for other independent distributors. The selling of Oleifera Mall’s Products in the market below Oleifera Mall’s INDEPENDENT PROMOTER wholesale price in that market is strictly prohibited.

The INDEPENDENT PROMOTER may not sell or distribute Products to Persons, who intend to resell the Products, or have resold Products in the past. The INDEPENDENT PROMOTER is prohibited from selling to Persons, either directly or indirectly, who ultimately:
- Resell the Products through a retail store,
- Resell the Products over the Internet, regardless of the form of the Internet distribution channel, unless it has been approved by Oleifera Mall in writing,
- Import the Products into an Unopened Country, or
- Use any other method of distribution that violates the primary purpose of his/her direct selling business and that of Oleifera Mall. The INDEPENDENT PROMOTER must take reasonable steps to ensure that Persons who purchase Products from the INDEPENDENT PROMOTER do not intend to violate the money-back Guarantees, Customer Refunds, and Exchanges for INDEPENDENT PROMOTER’s Retail Customers.

Product Return and Exchange by INDEPENDENT PROMOTER
Oleifera Mall reserves the right to reject any returned goods if in good faith the defect is due to wrong handling by the INDEPENDENT PROMOTER and not due to manufacturing or quality matters.

All returns shall be subject to the validation of presented proof including but not limited to the original invoices issued by Oleifera Mall, complete original packaging with item code sticker and product tag and in good condition as at purchased. Oleifera Mall reserves the right to reject repetitive returns.
In case of returns, the INDEPENDENT PROMOTER will sign a Product Exchange/ Return Form receipt with the representative of the Business Centre(s) or the person in charge of this type of transactions in Oleifera Mall’s location.
Product Return and Exchange by Retail Customer

The INDEPENDENT PROMOTER must offer a 10 (ten) working days money-back guarantee to his/her retail customers. This means that the INDEPENDENT PROMOTER must, for any reason and upon request, give a full refund of the purchase price to the retail customer. The only requirement is that the retail customer must request for the refund within 10 (ten) working days after the date of delivery of the Products and return the unused portion of the Product. The INDEPENDENT PROMOTER must make a refund for returned Products within 10 (ten) working days of the retail customer’s requests. Oleifera Mall encourages the INDEPENDENT PROMOTER to honor his/her retail customer’s request for refunds or Product exchanges even if made more than ten working days after the date of delivery of the Products.

If the INDEPENDENT PROMOTER’s retail customer purchases a Products directly from him/her, and the INDEPENDENT PROMOTER’s retail customer returns the Product to the INDEPENDENT PROMOTER for a refund, then the INDEPENDENT PROMOTER is responsible for and must provide the retail customer with, a refund without any reimbursement from Oleifera Mall. Oleifera Mall encourages the INDEPENDENT PROMOTER to honor his/her retail customer’s request for refunds even if made more than 10 (ten) working days after the date of delivery of Products.

If the retails customer purchases a Product directly from the INDEPENDENT PROMOTER, and retail customer returns the Product to the INDEPENDENT PROMOTER for a Product exchange, then the INDEPENDENT PROMOTER is responsible for the Product exchange, and Oleifera Mall will only replace the exchanged Product if returned within 30 (thirty) days from the date of purchase by the INDEPENDENT PROMOTER or if the Product has defected.

SECTION 14 - REFUND
Pursuant to the refund policy in the Policies and Procedures and subject to any special terms disclosed at the time of purchase, unless otherwise required by applicable laws, Oleifera Mall Ghana will refund ninety percent (90%) of the amount paid by the INDEPENDENT PROMOTER, plus applicable tax if prepaid, less applicable Bonuses, on marketable (namely, unopened and resalable) Oleifera Mall Products and/or Business Support Materials.
This same policy does not apply, however, to Medical Products, which may be returned within 90 (ninety) days of the order date. All Medical Products returned should not expire in less than three (3) months.

Oleifera Mall does not refund the original shipping costs on Products that the INDEPENDENT PROMOTER returns.
In order for Oleifera Mall to correctly deduct the applicable Bonuses on returned Products, the INDEPENDENT PROMOTER must keep the original sales order invoice. The INDEPENDENT PROMOTER must provide the original sales order invoice to Oleifera Mall at the time the INDEPENDENT PROMOTER requests for a refund.
The INDEPENDENT PROMOTER may also return individual Products that are purchased as part of a kit or package. The form of the return will be based on the original form of payment such as a bank/mobile money transfer or a credit cards charge.
Instead of a refund, Oleifera Mall may choose other alternatives such as a Product credit. The return of Products may affect the INDEPENDENT PROMOTER’s eligibility to receive Bonuses and his/her pin level, and if Bonuses have already been paid on the returned Products, then Oleifera Mall will deduct such Bonuses as set out above.
Oleifera Mall does not provide refunds for Products or Business Support Materials and Services purchased from another independent promoter. The INDEPENDENT PROMOTER must seek a refund directly from the independent promoter who sold the INDEPENDENT PROMOTER such as Products or Business support Materials and Services.

SECTION 15 - BONUS PAYOUT
The INDEPENDENT PROMOTER must provide a copy of his/her valid bank/mobile money (for Ghanaians) or Passport (for non-Ghanaian) together with a copy of a Ghanaian bank passbook or Ghanaian bank account details if the INDEPENDENT PROMOTER intends to have his/her bonuses paid via bank transfer. If the INDEPENDENT PROMOTER does not provide such documents together, bonuses will be credited to the INDEPENDENT PROMOTER’s E-account and can be used by the INDEPENDENT PROMOTER as a method of payment for future purchases.
Bonuses are payable to all local banks (Absa BGL, GCB Bank Limited, ADB, CalBank, Consolidated Bank of Ghana Limited, Ecobank Ghana Limited, Fidelity Bank Ghana Limited etc.).

Bank charges per transaction are based on the prevailing rate as determined by the respective bank and shall be borne by the INDEPENDENT PROMOTER. Oleifera Mall will deduct the said fee from the INDEPENDENT PROMOTER’s bonus automatically upon transferring.
The monthly bonus which is less than 50GHS will be credited to Independent PROMOTER’s E-account for further purchases.
Oleifera Mall will not be liable for any banking transaction chargers and/or administration fee imposed by the bank according to the relevant BANK NEGARA guidelines for transactions with the INDEPENDENT PROMOTER. The charges will be deducted from the INDEPENDENT PROMOTER’s bonuses.

SECTION 16 - TAXES AND OTHER FINANCIAL OBLIGATIONS
Each INDEPENDENT DISTRIBUTOR assumes his/her own responsibilities regarding the payment of personal income tax, health, and social insurance and other taxes in accordance with the laws in Ghana. It is important to establish and maintain a proper set of books and records for the business of the INDEPENDENT PROMOTER and Oleifera Mall has the right to request the INDEPENDENT PROMOTER to provide such documents or any documents for justifying the payment of taxes and other financial obligations by the INDEPENDENT PROMOTER.
The INDEPENDENT PROMOTER agrees that Oleifera Mall has the rights:
- To declare to the local competent authorities in Ghana the transaction details done between Oleifera Mall and the INDEPENDENT PROMOTER;
- To withhold personal income tax from Bonus, bonuses and other economic benefits payable to INDEPENDENT PROMOTER and pay such tax amount to local taxation offices as stipulated in applicable laws which can be printed and use by the INDEPENDENT PROMOTER for other purposes;
- To request the INDEPENDENT PROMOTER to provide proper name, permanent address and taxpayer identification number or other necessary information for the purposes of the administration system or for reporting reasons;
- To reveal any information to any person about the INDEPENDENT PROMOTER under the conditions that this would facilitate the payment of the debts of the INDEPENDENT PROMOTER towards Oleifera Mall;
- To share/disclose INDEPENDENT PROMOTER’s personal information including but not limited to INDEPENDENT PROMOTER’s income/earnings under the requirement of local competent authorities if requested.

SECTION 17 - ACCURACY OF BILLING AND ACCOUNT INFORMATION
Oleifera Mall reserves the right to refuse any order the Independent Promoter places with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same bank/mobile money details, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify the client by contacting the e-mail and/or billing address/phone number provided at the time the order was made. Oleifera Mall reserves the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or promoters.

The client agrees to provide current, complete and accurate purchase and account information for all purchases made on our website. The client agrees to promptly update their account and other information, including, but not limited to email address and bank/mobile money numbers and expiration dates, so that we can complete your transactions and contact you as needed.

Third-party links on this website may direct you to third-party websites which are not affiliated with Oleifera Mall. Oleifera Mall are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. The INDEPENDENT PROMOTER should review carefully the third-party's policies and practices and make sure they understand them before engaging in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party only, not Oleifera Mall.
Oleifera Mall may provide the Independent Promoter  with access to third-party tools over which we neither monitor nor have any control nor input.

The INDEPENDENT PROMOTER acknowledges and agree that Oleifera Mall provides access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. Oleifera Mall shall have no liability whatsoever arising from or relating to the INDEPENDENT PROMOTER  use of optional third-party tools.

Any use by the client of optional tools offered through the website is entirely at the client's own risk and discretion and the client should ensure that they are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
Oleifera Mall may also, in the future, offer new services and/or features through this website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these terms.

SECTION 19 - USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS
If, at the request of Oleifera Mall, the INDEPENDENT PROMOTER sends certain specific submissions (for example, but not limited to, contest entries, product and/or income testimonials etc.,) or without a request from Oleifera Mall the client sends creative ideas, product and/or income testimonials, suggestions, proposals, plans, photos or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), the INDEPENDENT PROMOTER agrees that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that the client forwards to us. Oleifera Mall are and shall be under no obligation;
- to maintain any comments in confidence;
- to pay compensation for any comments; or
- to respond to any comments.

Oleifera Mall may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these terms and condition of business.
The INDEPENDENT PROMOTER agrees that their comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. The client further agrees that their comments will not contain libellous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the service or the website. The client may not use a false e-mail address, pretend to be someone other than themself/themselves, or otherwise mislead Oleifera Mall or third-parties as to the origin of any comments. The INDEPENDENT PROMOTER  is solely responsible for any comments they make and their accuracy. Oleifera Mall take no responsibility and assume no liability for any comments posted by the client or any third-party.

SECTION 20 - PERSONAL INFORMATION

SECTION 21 - ERRORS, INACCURACIES AND OMISSIONS
Occasionally there may be information on the website or on the goods which contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. Oleifera Mall reserves the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the goods or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).

Oleifera Mall undertake no obligation to update, amend or clarify information in the goods or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the goods or on any related website, should be taken to indicate that all information in the goods or on any related website has been modified or updated.

SECTION 22 - PROHIBITED USES
In addition to other prohibitions as set forth in these terms, the INDEPENDENT PROMOTER  is prohibited from using the site or its content:
for any unlawful purpose;
- to solicit others to perform or participate in any unlawful acts;
- to violate any country wide, international, federal, provincial or state regulations, rules, laws, or local ordinances;
- to infringe upon or violate Oleifera Mall  intellectual property rights or the intellectual property rights of any others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
- to submit false or misleading information;
- to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the website and/or goods or of any related website, other websites, or the Internet;
- to collect or track the personal information of others;
- to spam, phish, pharm, pretext, spider, crawl, or scrape;
for any obscene or immoral purpose; or
- to interfere with or circumvent the security features of the website or any related website, other websites, or the Internet.

Oleifera Mall reserves the right to terminate the INDEPENDENT PROMOTER's  use of the website or any related website for violating any of the prohibited uses.

SECTION 23 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
Oleifera Mall do not guarantee, represent or warrant that the INDEPENDENT PROMOTERS use of our service will be uninterrupted, timely, secure or error-free.
Oleifera Mall  do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.
The INDEPENDENT PROMOTER  agrees that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.

The client expressly agrees that their use of, or inability to use, the service is at their sole risk. The service and all products and services delivered to the client through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
In no case shall Oleifera Mall, our directors, officers, employees, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some countries, states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such countries, states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

SECTION 24 - INDEMNIFICATION
The INDEPENDENT PROMOTER  agrees to indemnify, defend and hold harmless Oleifera Mall and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable lawyers’ fees, made by any third-party due to or arising out of your breach of these terms or the documents they incorporate by reference, or the INDEPENDENT PROMOTER's  violation of any law or the rights of a third-party.

SECTION 25 - SEVERABILITY
In the event that any provision of these terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these terms, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 26 - TERMINATION
The obligations and liabilities of Oleifera Mall and the INDEPENDENT PROMOTER ("the parties") incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These terms are effective unless and until terminated by either the Promoter or Oleifera Mall. You may terminate these terms at any time by notifying Oleifera Mall that you no longer wish to use our services, or when you cease using our site.
If in the sole judgment of Oleifera Mall the INDEPENDENT PROMOTER  fails, or we suspect that the client has failed, to comply with any term or provision of these terms, Oleifera Mall also may terminate this agreement at any time without notice and the INDEPENDENT PROMOTER  will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny the client access to Oleifera Mall's  services (or any part thereof).

SECTION 27 - ENTIRE AGREEMENT
The failure of Oleifera Mall to exercise or enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
These terms and any policies or operating rules posted by Oleifera Mall  on this site or in respect to the service constitutes the entire agreement and understanding between the parties and govern the client's use of the service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between the parties (including, but not limited to, any prior versions of the terms).
Any ambiguities in the interpretation of these terms shall not be construed against the drafting party.

SECTION 28 - GENERAL CLAUSES
The Independent Promotership Agreement is made on an equality basis and with the will of both Oleifera Mall  and the INDEPENDENT PROMOTER. Both Oleifera Mall  and the INDEPENDENT PROMOTER  hereby agrees and commits to fully and strictly adhere to all Terms and Conditions of the Independent Promoter Application Form & Agreement and also Oleifera Mall’s Policies.
The INDEPENDENT PROMOTER  hereby agrees and undertakes fully and effectively to indemnify and keep indemnified Oleifera Mall, its independent promoters, officers, managers, directors, employees and agents after as before the termination of their Independent Distributorship hereof for and against all damages or injuries to rights property and/or persons, losses, claims, demands, expenses (including legal and professional expenses), costs and liabilities which Oleifera Mall may at any time incur arising from or in connection with the appointment as a promoter or the usage of Oleifera Mall’s products thereof or as a result of any and all breaches by the INDEPENDENT PROMOTER  of the obligations hereunder or as a result of the INDEPENDENT PROMOTER’s relations with his/her customers and other third parties or any other provisions of the Independent Promotership Agreement.

Oleifera Mall will not be liable for any special, indirect, direct, incidental, punitive, or consequential damages, including loss of profits, arising from or related to the breach of the INDEPENDENT PROMOTERSHIP Agreement or other agreements between the parties. INDEPENDENT PROMOTER agrees that the entire liability of Oleifera Mall  for any claim whatsoever related to his/her relationship with Oleifera Mall, including but not limited to any cause of action arising in INDEPENDENT PROMOTER  Agreement, tort, or equity, will be limited to the cost of Oleifera Mall  Products that INDEPENDENT PROMOTER  has purchased from Oleifera Mall  Ghana.
The INDEPENDENT PROMOTER as a distributor or end consumer of Oleifera Mall’s products agrees and commit to compensate Oleifera Mall  for all damage or injuries to right property and/or persons, losses, claims, demands, expenses (including legal and professional expenses.) cost and liabilities which Oleifera Mall  may at any time incur due to serious breaches by the INDEPENDENT PROMOTER of the Independent Promotership Agreement as well as Oleifera Mall’s Policies or bad relations with clients or others during and after the execution Oleifera Mall  business.

The INDEPENDENT PROMOTER, as a self-employed person, shall be fully responsible for all his/her business activities. The relationship between Oleifera Mall  and the INDEPENDENT PROMOTER under the Independent Promotership  Agreement is that of an independent Promoter and the INDEPENDENT PROMOTER  will not assume any obligations or make any representations on behalf of Oleifera Mall or any company related to Oleifera Mall except to state that it is Oleifera Mall’s Independent Promoter. Neither party is the employee, agent, broker, authorized Promoter, legal/authorized representative nor shall partner of the other; and nothing in the Independent Promotership  Agreement shall create any such relationship between Oleifera Mall  and the INDEPENDENT PROMOTER.

The Independent Promotership  Agreement is strictly between the INDEPENDENT PROMOTER and Oleifera Mall. The rights and obligations of the INDEPENDENT PROMOTER can be transferred and sold to another person on a ‘willing buyer willing seller’ basis.
Any judicial announcement or information related to the Independent Promotership Agreement and to be communicated to and between both Oleifera Mall and the INDEPENDENT PROMOTER  must be done by writing and sent by registered mail to the parties’ address mentioned in the Independent Promotership  Application Form & Agreement.

The law of Ghana  shall govern the Independent Promotership  Agreement. In the event that any dispute arises in connection with the Independent Promotership  Terms & Conditions, the Parties shall resolve such dispute by negotiation and amicable conciliation. If no resolution of the dispute could be reached within 30 (thirty) days from the date on which the dispute arises, either Party may refer the dispute to a Ghanaian competent Court.
The Independent Promotership  Agreement shall be effective from the date that it is signed/signed up  by the INDEPENDENT PROMOTER  and approved by Oleifera Mall.
The original statements of Oleifera Mall  are written in English. The English language text shall prevail in the event of a conflict between the English version and the translated version.
The information is correct at the point of printing; Oleifera Mall reserves the right to make any changes without prior notice.

SECTION 29 - GOVERNING LAW
This contract will be governed by and construed in accordance with the laws of the Republic of Ghana and shall be subject to the non-exclusive jurisdiction of the Ghana court of Law.

SECTION 30 - CHANGES TO TERMS OF SERVICE
The client can review the most current version of the Oleifera Mall terms at any time at this website.
